Terms for using Korvani

These Terms explain the rules for pilot access, accounts, business workspaces, future paid plans, payment features, and use of the Korvani Commerce Operating System. Please read them before applying, creating an account, or using a workspace.

1. Introduction and acceptance

These Terms apply when you use the Korvani website, submit a pilot application, create an account, accept these Terms during signup, purchase an available Korvani service, or access a Korvani workspace. If you do not agree, do not create or use an account or workspace.

Additional terms shown and accepted for a particular plan, pilot offer, order, proposal, or service form part of the agreement for that service. Rights that cannot lawfully be excluded remain in place.

2. About Korvani and supplier information

Korvani is a South African technology business developing and providing the Korvani Commerce Operating System.

Public enquiries and legal notices may be sent to hello@korvanihq.com.

Additional supplier information required for paid online transactions will be published before Korvani begins accepting payments for paid services.

3. Description of the service

Korvani provides software for business operations. Depending on the plan, pilot stage, region, configuration, and availability, features may support customer management, customer conversations and channels, products and services, stock, orders, payment-status tracking, payment requests, operational reporting, staff workflow, and related workspace tools.

Not every feature described on a roadmap, pricing page, demonstration, or marketing page is necessarily available during the pilot. Features and limits may differ between plans or workspaces, and pilot or beta functionality may change as Korvani develops.

Korvani is not a bank, lender, financial adviser, accounting adviser, tax adviser, or the seller of a business user’s goods or services. Recording or transmitting a payment request or payment status does not make Korvani the merchant in the underlying customer transaction.

4. Eligibility and business authority

You must be legally capable of agreeing to these Terms. If you apply, create an account, purchase a service, or operate a workspace for a business, you confirm that you are authorised to act for that business. Account and workspace use must comply with applicable law.

You must provide accurate, current information and correct it when it changes. Korvani may reasonably request information needed to verify identity, authority, eligibility, billing, or lawful use, but will not require information without a legitimate purpose.

5. Accounts and workspace security

You must protect login credentials, use individual access where required, and promptly report suspected unauthorised access to Korvani. Business users are responsible for activity under their workspace and for access granted to authorised staff, except where responsibility cannot lawfully be assigned to them.

Do not share credentials with unauthorised people or attempt to use another person’s account. Korvani may require password changes, session revocation, or other proportionate security steps where an account may be at risk.

6. Pilot access

Pilot participation may require approval and may be limited by capacity, product fit, operational readiness, security, supported regions, or other legitimate pilot requirements. Korvani may accept, decline, limit, or revoke pilot access using fair, reasonable, and non-discriminatory criteria. An application does not create an account or guarantee approval.

Pilot features may be unfinished, contain errors, change, or be withdrawn. Korvani may request feedback and may schedule maintenance or experience temporary interruptions. Pilot access does not guarantee permanent availability, a final product scope, future pricing, or a particular launch date.

Any pilot price, free period, discount, founder offer, or special condition will be shown before acceptance. Applying for pilot access does not by itself start billing or create a payment obligation.

7. Plans, pricing, and product changes

Available prices, billing intervals, plan features, limits, taxes, and other charges will be disclosed before purchase through the pricing page, checkout, proposal, order form, invoice, or another agreed record. You must be able to review and approve the applicable price and correct material input errors before completing an online purchase.

Korvani may introduce or change plans prospectively. A change will not silently alter a payment already completed. Existing users should receive reasonable advance notice before a material price increase applies to a future renewal. Plan features may be added, changed, limited, or removed with reasonable notice where practical, taking account of security, legal, technical, and product needs.

Applicable taxes, where required, must be clearly disclosed before payment. Korvani does not state that VAT is charged unless VAT registration and the applicable checkout or invoice treatment have been confirmed.

8. Korvani subscription billing

When paid plans are made available, billing may be monthly, annual, or another period clearly disclosed before purchase. Fees may be collected in advance. Automatic renewal will apply only where the renewal price, billing frequency, and renewal terms are clearly disclosed and accepted.

By completing a paid purchase, you authorise the disclosed payment method to be charged for the approved amount and, where accepted, future renewals. You must keep billing and contact information accurate. Receipts, invoices, or a transaction record will be made available where supported by the checkout, processor, or applicable law.

Public pricing currently describes plan direction and does not mean automated subscription billing is active. The final price, included features, payment method, and renewal terms must be confirmed before any payment is collected.

9. Payment processors

Korvani may use Paystack or another payment processor disclosed before payment. Payment processing may also be governed by the processor’s terms and privacy policy. A processor may collect payment details directly and may apply fraud, verification, bank, card-network, or other payment controls.

Korvani may receive limited transaction information such as payment status, transaction reference, amount, currency, payment provider, and limited payer information needed for reconciliation, support, fraud prevention, refunds, or disputes. Korvani does not claim to store full card numbers, and does not claim a processor’s licence or payment-security certification as its own.

Processor outages, bank delays, fraud reviews, connectivity problems, card-network decisions, or other failures outside Korvani’s reasonable control may delay or prevent a payment, refund, reversal, or transaction-status update.

10. Failed and overdue payments

Where legally and technically permitted, Korvani or its processor may retry an authorised failed recurring payment. You may be asked to update the payment method or resolve a billing problem. Korvani will not add undisclosed charges merely because a payment failed.

If a valid fee remains overdue, access to paid features may be proportionately restricted after reasonable notice where practical. Suspension does not erase valid outstanding fees, but Korvani will consider payments already made, the seriousness of the issue, and applicable law before terminating paid access. Korvani will not use unlawful, deceptive, or abusive debt-collection practices.

11. Cancelling a Korvani subscription

When subscriptions are available, you may cancel through available account controls or by contacting hello@korvanihq.com. Cancellation normally prevents the next renewal. Unless otherwise disclosed, paid access ordinarily continues until the end of the current paid billing period.

Immediate cancellation may occur where required by law, mutually agreed, requested before service begins where a statutory right applies, or reasonably necessary for serious misuse, fraud, security risk, or unlawful activity. Korvani does not impose a cancellation penalty unless it was lawfully and clearly agreed. Statutory cooling-off, fixed-term cancellation, and other non-excludable rights remain unaffected.

12. Korvani subscription refunds

Completed subscription fees are generally not automatically refundable merely because a user changes their mind after using the paid service. Cancellation does not automatically create a refund for time or services already used.

Korvani will review requests involving duplicate or incorrect charges, unauthorised charges, material service failures, or services not supplied as agreed. Refunds will also be provided where required by applicable law. Promotional or pilot-specific refund terms clearly shown before purchase may also apply.

Approved refunds will normally be returned to the original payment method where practical. Bank and processor timelines may affect when funds appear. Nothing in this policy removes statutory rights that cannot lawfully be excluded.

13. Business users receiving customer payments

If Korvani enables a business user to send payment requests or receive payment-status information for its customers, that business remains the seller or service provider. The business is responsible for product or service quality, descriptions, pricing, availability, delivery, taxes, invoices, customer support, cancellations, returns, and refunds for the underlying sale.

Korvani is not automatically a party to the sale between a business user and its customer. Korvani may provide software, payment-request delivery, reconciliation tools, and status information, while a third-party processor performs payment processing. Korvani is not responsible for fulfilling the merchant’s goods or services.

Businesses must not use Korvani for fraudulent, unlawful, deceptive, or misleading transactions. Korvani or a processor may proportionately pause suspicious payment functionality while a reasonable security, fraud, legal, or processor review is completed.

14. Merchant cancellations and refunds

Each business user must publish and honour a lawful policy for customer cancellations, returns, exchanges, and refunds relating to its own goods or services. That policy must be consistent with the business’s promises and applicable consumer law.

Questions about a merchant’s delivery, quality, cancellation, or refund should ordinarily be directed to that merchant. Korvani may provide transaction records or technical support, but does not decide the merchant’s underlying customer obligations unless applicable law or a separate written agreement requires otherwise.

15. Chargebacks and payment disputes

Contact Korvani about a disputed Korvani subscription charge. Business users are responsible for disputes involving transactions with their own customers and must provide truthful, complete supporting information to Korvani and the processor where requested.

Fraudulent or abusive chargebacks may result in proportionate account or payment-feature review or restriction. Nothing in these Terms restricts lawful cardholder, bank, or consumer dispute rights. Chargebacks, refunds, reversals, bank decisions, or processor decisions may change a transaction’s status and available settlement information.

16. Taxes, invoices, and accounting

Each business user is responsible for its own tax, bookkeeping, reporting, and accounting obligations. Korvani will disclose taxes charged on Korvani fees where required, but does not provide tax or accounting advice.

Merchants are responsible for invoices, receipts, tax treatment, and records relating to sales to their own customers. Korvani does not claim VAT registration and must not issue a document as a VAT invoice unless the relevant registration and invoice requirements are met.

17. Setup and additional services

Optional setup, imports, reports, add-ons, integrations, or custom work may be quoted separately. Scope, fees, timing, dependencies, acceptance criteria, cancellation treatment, and any special refund terms should be recorded in the applicable proposal, invoice, or written agreement. Public feature descriptions do not by themselves promise custom work.

18. Acceptable use

You must not use Korvani to:

  • conduct illegal activity, fraud, deceptive sales, or prohibited or restricted payment activity;
  • use stolen payment information, misrepresent a transaction, impersonate another person, or engage in phishing;
  • introduce malware, attack or disrupt systems, obtain unauthorised access, or bypass account, approval, rate-limit, payment, or security controls;
  • harass, threaten, abuse, unlawfully discriminate against, or deceive customers, staff, or other users;
  • infringe intellectual-property, privacy, confidentiality, consumer, or other third-party rights;
  • collect, upload, use, or disclose personal information without lawful authority;
  • send unlawful spam, direct marketing, or customer communications; or
  • use excessive automation, scraping, or other activity that materially damages or unreasonably burdens the service.

Restrictions will be applied reasonably and in light of the service’s business purpose, security, other users, provider rules, and applicable law.

19. Customer communications

Businesses remain responsible for communicating lawfully and respectfully with customers, obtaining consent where required, honouring marketing choices, and ensuring that offers, prices, products, services, payment requests, and claims are accurate. Korvani must not be used for deceptive, abusive, or unauthorised messages.

20. User content and business data

Users retain ownership of business content and data they provide, including customer lists, operational records, business names, trademarks, and uploaded materials. Korvani does not acquire ownership merely because content is processed through the service.

Users give Korvani only the limited rights needed to host, process, transmit, organise, back up, and display content to provide, support, improve, and secure the service or meet lawful obligations. Users must have permission to upload customer or staff information and remain responsible for the accuracy, quality, and lawfulness of their content.

Korvani may use aggregated or de-identified information for service analysis and improvement where it no longer identifies a person or business in a manner protected by law or confidentiality.

21. Korvani intellectual property

The KORVANI name and branding, software, interface, designs, documentation, original website content, workflows, and platform materials belong to Korvani or its licensors. While authorised and compliant with these Terms, users receive a limited, non-exclusive, non-transferable right to use the service for legitimate business operations.

22. Staff users and permissions

Where supported, workspace owners may authorise staff and are responsible for the roles and permissions they grant. Access should be reviewed and removed when no longer required. Korvani may rely on instructions from users who reasonably appear authorised, subject to appropriate security checks and rights that cannot lawfully be excluded.

23. Feedback

If you voluntarily provide product ideas or feedback, Korvani may use them to evaluate and improve the service without an obligation to implement or compensate for them. This does not transfer ownership of business data, trademarks, confidential information, or original content.

24. Third-party services

Korvani uses or may integrate with third-party services such as Google authentication, Supabase infrastructure, email providers, payment processors such as Paystack, hosting and infrastructure providers, and future customer-channel or business integrations. Availability and providers may change as the product develops.

Third-party services may have separate terms, privacy policies, fees, and platform rules that users must follow. Korvani is not responsible for third-party products, decisions, outages, or conduct beyond what applicable law requires, but will not use this clause to avoid its own responsibilities in selecting, configuring, or operating integrations.

25. Service availability and changes

Korvani aims to provide a reliable service, but uninterrupted or error-free operation cannot be guaranteed. Planned maintenance, internet failures, third-party outages, security events, and technical faults may affect availability.

Korvani may update, improve, replace, limit, or discontinue features. Important changes or deprecations should receive reasonable notice where practical. Users should keep suitable independent copies of critical business records and verify important operational information.

26. Suspension and termination

Korvani may proportionately restrict, suspend, or terminate access for serious Terms violations, security risk, fraud, unlawful activity, overdue paid fees after reasonable notice, harm to users or infrastructure, or legal or processor requirements. Ordinary breaches should receive notice and a reasonable opportunity to resolve them where practical. Urgent security, fraud, or legal risks may require immediate action.

Korvani will consider the nature of the issue, payments already made, and less restrictive options where practical. After termination, data access, export, retention, and deletion will be handled according to the Privacy Policy, applicable law, security needs, backups, disputes, and any agreed transition arrangements. No automatic immediate deletion is promised.

27. Disclaimers

The service is provided subject to the agreed scope, availability, and applicable law. Pilot functionality may be incomplete. Korvani does not guarantee specific revenue, sales, customer payment, stock accuracy, or other business results.

Reports, reminders, forecasts, templates, and automated suggestions are informational and should be independently checked before important business, financial, legal, tax, stock, or customer decisions are made. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

28. Limitation of liability

To the extent permitted by law, responsibility for loss will be assessed in light of the agreed service, reasonable foreseeability, the parties’ conduct, reasonable mitigation, and applicable law. Korvani is not responsible for loss caused solely by inaccurate user data, unauthorised instructions, unlawful use, a merchant’s failure to fulfil its sale, or third-party systems outside Korvani’s reasonable control.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited. These Terms do not establish an artificial monetary cap that overrides applicable consumer or other non-excludable rights.

29. Limited indemnity

To the extent permitted by law, a business user is responsible for reasonable losses or third-party claims directly caused by its unlawful activity, fraudulent transactions, deliberate misuse of the service, infringement caused by its content, or knowing violation of third-party rights. This does not create an unlimited indemnity and does not apply to the extent a loss was caused by Korvani or cannot lawfully be shifted to the user.

30. Privacy and data protection

Korvani handles personal information as described in the Privacy Policy. Businesses remain responsible for lawful authority over customer and staff information they provide. The Privacy Policy also explains payment data, processors, international processing, security, retention, and privacy rights.

31. Electronic communications and notices

Korvani may send account confirmations, approval and access messages, security notices, service communications, legal or policy updates, invoices, receipts, and billing notices using the contact information provided. Operational, security, billing, and legal messages are not necessarily marketing.

Keep contact information current and retain copies of important plan, payment, cancellation, and transaction records. A notice is not effective merely because it was sent to an address Korvani knows is invalid or no longer used.

32. Changes to these Terms

Korvani may update these Terms as the service, payment model, providers, or law changes. The updated date will be revised. Material changes will receive reasonable notice where practical, and additional acceptance will be requested where required. A change will not retrospectively alter a completed payment or remove an accrued statutory right.

33. Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa, without removing mandatory rights that apply in another jurisdiction. If a dispute arises, the parties should first attempt a good-faith resolution by contacting hello@korvanihq.com.

Statutory consumer complaint rights are not removed. Unresolved disputes may proceed before courts, consumer bodies, regulators, ombuds, or other bodies with lawful jurisdiction. These Terms do not invent a compulsory arbitration institution or exclusive physical court.

34. General provisions

If part of these Terms is unenforceable, the remaining provisions continue as far as legally possible. A delay in enforcing a right is not necessarily a waiver. These Terms, together with an accepted plan, checkout disclosure, proposal, order form, invoice, and referenced policies, form the agreement in their stated order of priority, subject to rights that cannot lawfully be changed.

You may not transfer an account or agreement without consent where consent is reasonably required. Korvani may transfer the agreement as part of a genuine business reorganisation only with appropriate notice and without reducing non-excludable rights.
